Website Acquisition Glossary

Plain-English definitions of the key terms used when buying and selling websites and online businesses. Whether you're evaluating your first acquisition or reading through a listing for the first time, use this as a reference. SDE (Seller's Discretionary Earnings): The total cash benefit a full-time owner-operator derives from a business annually, calculated as net profit plus the owner's salary, non-recurring expenses, and any personal expenses run through the business. SDE is the most widely used metric for valuing small websites and online businesses — most listing prices are quoted as a multiple of monthly SDE. Multiple: The ratio of asking price to monthly (or annual) earnings. A “36x multiple” means the asking price is 36 times the site's average monthly net profit. Content sites and SaaS businesses typically trade at 30–50x monthly SDE. eCommerce stores often trade at 24–40x. The multiple reflects how much of a premium buyers are willing to pay for predictability, growth, and low risk.
MRR (Monthly Recurring Revenue): Predictable, subscription-based revenue collected each month. MRR is the primary financial metric for SaaS businesses because it measures the recurring portion of revenue that is contracted and expected to continue without new sales activity. MRR excludes one-time payments, setup fees, and non-subscription income. Annualised MRR is expressed as ARR.
ARR (Annual Recurring Revenue): MRR multiplied by 12. ARR is used to express the annualised value of a subscription business and is the standard basis for SaaS acquisition multiples. A SaaS tool with $2,000 MRR has $24,000 ARR. Typical SaaS acquisition prices range from 2x to 5x ARR depending on growth, churn, and product maturity.
Churn Rate: The percentage of customers (or revenue) lost in a given month. A monthly churn rate of 2% means 2 in every 100 subscribers cancel each month. Low churn is one of the strongest indicators of a valuable SaaS or subscription business: a business with 1% monthly churn retains 89% of its customers after one year, while 5% monthly churn leaves only 54% remaining. NRR (Net Revenue Retention): A metric that shows whether revenue from existing customers grows or shrinks over time, accounting for upgrades, downgrades, and cancellations. NRR above 100% means existing customers collectively pay more each month than the previous month — the business can grow revenue even with zero new customer acquisition. NRR is one of the most powerful signals of a healthy SaaS business. Closely related to churn rate: high NRR implies low revenue churn.
LTV (Lifetime Value): The total revenue expected from a single customer over the entire duration of their relationship with the business. Calculated as average monthly revenue per customer divided by the monthly churn rate. A business with $50 average monthly revenue per customer and 2% monthly churn has an LTV of $2,500. Comparing LTV to CAC is the standard way to evaluate whether a customer acquisition model is sustainable.
CAC (Customer Acquisition Cost): The total cost to acquire one new paying customer, including all marketing and sales spend divided by the number of new customers acquired in the same period. For content sites earning through organic search, CAC is effectively zero. For SaaS businesses spending on paid ads, a CAC below one-third of LTV is generally considered healthy.
TTM (Trailing Twelve Months): The most recent 12-month period of financial data, used to establish a representative baseline for revenue and earnings. Most acquisition valuations use TTM average monthly SDE rather than a single month's figure to smooth out seasonal spikes or dips. Organic Traffic: Visitors who arrive at a website through unpaid search engine results (Google, Bing, etc.) as opposed to paid ads, social referrals, or direct URL visits. Organic traffic is generally the most valuable traffic source for content sites because it is free, compounding, and relatively stable once established. Verify organic traffic using a read-only Google Analytics or Google Search Console share before closing any acquisition — see our due diligence guide for a full verification checklist. Asset Purchase Agreement (APA): The legal contract that transfers ownership of website assets — domain, website files, databases, social media accounts, email lists, intellectual property, and any other included items — from seller to buyer. A well-drafted APA specifies what is included, the purchase price, seller warranties, transition support obligations, and confidentiality provisions. Escrow: A neutral third-party service that holds the buyer's payment until all agreed assets have been transferred and the buyer confirms receipt. Escrow protects both parties: the seller knows funds are available before releasing any assets; the buyer knows they can recover funds if assets are not delivered as agreed. Seller Financing: An arrangement where the seller accepts deferred payments from the buyer instead of full payment at closing. In a typical seller-financed deal, the buyer pays 50–70% upfront and the remainder over 12–24 months, often with interest. Seller financing is common for mid-market acquisitions ($50,000–$500,000) where the buyer cannot fund the full purchase price in cash. EPP / Auth Code (Domain Transfer Authorization): The authorisation code required to transfer a domain name from one registrar to another. When a website acquisition closes, the seller initiates the domain transfer by requesting this code from their registrar and sharing it with the buyer. The buyer submits it to their registrar to accept the transfer. Domain transfers typically take 5–7 days to propagate. All asset transfers should be confirmed complete before escrow releases funds. DA / DR (Domain Authority / Domain Rating): Third-party scores that estimate a domain's strength based on the quality and quantity of websites linking to it. DA is Moz's metric (0–100 scale); DR is Ahrefs' metric (0–100 scale). Neither is a Google ranking signal directly, but higher scores correlate with stronger organic traffic and are useful for benchmarking a domain's backlink profile when evaluating a content site or niche website for acquisition.
Net Profit: Total revenue minus all operating expenses — hosting, tools, contractors, advertising, and any other costs directly associated with running the business. Net profit is the foundation for calculating SDE, the metric most commonly used to value online businesses. Most website valuations use a TTM average monthly net profit as the baseline, then apply a multiple to arrive at a listing price.
LOI (Letter of Intent): A non-binding preliminary document that outlines the main terms of a proposed acquisition before a formal Asset Purchase Agreement is drafted. An LOI covers the proposed purchase price, deal structure, due diligence period, exclusivity window, and target closing date. NDA (Non-Disclosure Agreement): A legal agreement in which a prospective buyer commits to keeping confidential any financial, operational, or proprietary information shared by the seller during due diligence. Sellers should request a signed NDA before sharing revenue reports, customer lists, or traffic analytics — see our due diligence guide for what to share and when. NDAs are standard in any business acquisition and are often exchanged alongside or just before a Letter of Intent.
Earnout: A deal structure where a portion of the purchase price is paid after closing, contingent on the business hitting agreed performance targets. Earnouts reduce upfront risk for the buyer and let the seller capture value from growth they initiated. They are common in mid-market acquisitions where future performance is uncertain — often paired with seller financing as part of a structured deal. RPM (Revenue Per Mille): The revenue earned per 1,000 pageviews from display advertising. RPM varies widely by niche and season: personal finance and legal content can command $20–$80+ RPM; general entertainment often falls in the $1–$5 range. RPM is a key metric when evaluating content sites — a high-RPM niche site with modest organic traffic can generate more revenue than a high-traffic site in a low-RPM niche. Always confirm whether reported revenue reflects actual RPM or a blended figure that includes affiliate and sponsor income.
EBITDA (Earnings Before Interest, Taxes, Depreciation, and Amortization): A measure of a business's operating performance that strips out financing costs, tax obligations, and non-cash accounting charges. EBITDA is commonly used to value larger SaaS companies and online businesses because it approximates cash flow before capital structure decisions. Goodwill: The premium paid above the net asset value of a business, representing intangible value such as brand recognition, customer relationships, established audience, and ongoing revenue. In website acquisitions, goodwill is often the largest component of the purchase price — a content site's domain, backlink profile, and editorial reputation have real value beyond just the server files. Goodwill is typically amortised over 15 years under Section 197 of the US tax code. Run Rate: An annualised projection of revenue or profit based on a recent short period. A business generating $3,000 in the last month has a $36,000 annual run rate. Run rate is useful for fast-growing SaaS businesses or newsletters where TTM figures underrepresent current performance, but it overstates value for seasonal businesses or those with a recent revenue spike. Always clarify whether reported MRR or ARR figures are TTM averages or current run rate.
Niche Site: A content website focused on a narrow, specific topic — such as a single sport, hobby, product category, or profession — designed to rank in search engines for a defined set of keywords. Niche sites typically earn through display advertising and affiliate commissions. The narrower focus makes them easier to rank and monetise than broad sites, but also more vulnerable if the niche loses search interest or a key affiliate program changes commission rates. DSCR (Debt Service Coverage Ratio): The ratio of a business's net operating income to its total debt service (principal and interest payments). A DSCR of 1.25 means the business generates 25% more cash flow than needed to cover debt payments. SBA lenders typically require a DSCR of at least 1.25 for online business acquisitions. A DSCR below 1.0 means the business cannot service its debt from its own cash flow, disqualifying it for most SBA loans. Affiliate Marketing: A revenue model where a website earns commissions by referring visitors to third-party products or services. Affiliate income is a core revenue stream for many content sites and niche blogs. Commissions typically range from 3–10% for physical products to 50%+ for digital products and SaaS subscriptions. Key risks to verify during due diligence: how concentrated is revenue in a single affiliate program, and when did the program last change its commission rates? Verify affiliate earnings by requesting direct exports from affiliate dashboards, not just analytics screenshots. Display Advertising: A monetisation method where a website earns revenue by displaying ads served by a network such as Google AdSense, Mediavine, or Raptive. Revenue is paid per impression and expressed as RPM. Display advertising is the dominant revenue model for high-traffic content sites. When evaluating a display-ad site, confirm: which ad network is used (Mediavine and Raptive pay significantly higher RPM than AdSense), whether the site meets the network's ongoing minimum traffic requirements, and whether the current RPM is sustainable for the niche. Email List / Subscriber List: An email list is one of the most valuable transferable assets in a website acquisition — it provides a direct, algorithm-independent channel to an engaged audience. This is especially true for newsletter businesses and content sites where the list can be monetised through sponsored emails, affiliate promotions, or product launches. When evaluating a site with an email list during due diligence, ask for: total subscriber count, open rate (benchmark: 20–40% is healthy), click rate, list growth rate, and the email platform (Mailchimp, ConvertKit, Beehiiv, etc.). Confirm that subscribers consented via a double opt-in or equivalent mechanism for GDPR compliance. The list transfer typically involves either a full platform account transfer or a CSV export and re-import — both must be completed before escrow is released.
ARPU (Average Revenue Per User): Total monthly revenue divided by the total number of active users or customers. ARPU is a key metric for SaaS businesses and subscription platforms. A business with 1,000 users and $10,000 MRR has an ARPU of $10. Increasing ARPU through pricing changes or upsells is one of the highest-impact growth levers for a SaaS acquisition. Compare ARPU to LTV and CAC to assess whether the unit economics are sustainable. A falling ARPU over time signals pricing pressure or a shift toward lower-value plan tiers — ask for cohort data to understand the trend before buying.
Conversion Rate (CVR): The percentage of website visitors who complete a desired action — making a purchase for eCommerce stores, signing up for a free trial for SaaS products, or subscribing for newsletters. Typical benchmarks: 1–3% for eCommerce, 2–5% for SaaS free trials, 5–15% for email opt-in forms. A declining conversion rate during due diligence signals a product-market fit issue, UX deterioration, or traffic quality problem. Ask for at least 12 months of conversion data before buying. AOV (Average Order Value): Total revenue divided by total number of orders in a given period. AOV is a critical metric when evaluating eCommerce stores because it determines revenue per transaction. A store with a high AOV and moderate traffic can outperform a high-traffic store with a low AOV. When reviewing an eCommerce acquisition, request monthly AOV alongside revenue and order volume to spot trends. Common post-acquisition levers to increase AOV include upsells, product bundles, and free shipping thresholds. Compare to LTV and conversion rate to assess the full revenue picture per visitor.
Open Rate: The percentage of email subscribers who open a given email send. Open rate is the primary engagement metric for newsletters and any business with an email list. Healthy benchmarks: 25–45% for B2B newsletters, 20–35% for general content newsletters. A declining open rate signals list fatigue, deliverability problems, or irrelevant content. When evaluating an email-heavy acquisition, request open rate data for the last 12 months — a 10,000-subscriber list at 15% open rate is worth considerably less than a 3,000-subscriber list at 40%. Check deliverability by asking whether the sender domain has SPF, DKIM, and DMARC records configured correctly.
Asset Sale vs Entity Sale: The two main acquisition structures. In an asset sale — the most common structure for small online businesses — the buyer acquires specific assets (domain, files, content, accounts, IP) while the seller retains the legal entity. In an entity sale, the buyer acquires the entire LLC or corporation, including all liabilities. Asset sales are simpler and more tax-efficient for buyers. Entity sales are preferred when preserving existing contracts, payment processor accounts, SaaS API agreements, or regulatory approvals is critical. Engagement Rate (formerly Bounce Rate): A Google Analytics 4 metric showing the percentage of sessions that are engaged — defined as lasting at least 10 seconds, having a conversion event, or including two or more page views. Engagement rate replaced the older “bounce rate” metric in GA4 (2023+). A healthy engagement rate for content sites is 55–75%; below 50% may indicate traffic quality issues, slow page speed, or a mismatch between content and audience. For SaaS products, engagement rate on the landing page directly affects conversion rate. During due diligence, request GA4 read-only access to verify engagement rate alongside organic traffic and session data.
Gross Margin: Total revenue minus the direct cost of delivering the product or service, expressed as a percentage. For SaaS businesses and content sites, gross margin is typically 70–90% because the marginal cost of an additional customer or pageview is near zero. For eCommerce stores, gross margins are lower (20–50%) due to product costs, shipping, and returns. High gross margin is a strong signal of scalable, profitable growth. Compare gross margin to SDE and net profit to understand the full cost structure of a business before acquiring it.
LTV:CAC Ratio: The ratio of a customer's Lifetime Value (LTV) to the Customer Acquisition Cost (CAC). The widely cited healthy benchmark for SaaS businesses is 3:1 — the business earns three dollars from a customer for every dollar spent acquiring them. Below 1:1 means the business loses money on every customer acquired, which is unsustainable. Ratios above 5:1 can indicate underinvestment in growth marketing. Request LTV:CAC alongside churn rate and MRR during due diligence to assess whether the unit economics are sustainable.
Cohort Analysis: A method of analysing customer behaviour by grouping users who joined in the same period and tracking how they behave over time. Cohort analysis is especially valuable when evaluating SaaS businesses and eCommerce stores: it reveals whether newer customers are churning faster or slower than older cohorts, and whether LTV is improving or declining over time. A business where recent cohorts churn significantly faster than early cohorts is showing signs of deteriorating product-market fit — request cohort data during due diligence alongside churn rate and NRR for a complete picture.
Platform Risk: The risk that a business is heavily dependent on a single third-party platform — such as Google Search, Amazon Associates, Facebook Ads, or Shopify — and that a change to that platform's policies, algorithms, or fees could materially harm the business. Platform risk is one of the most important factors in website acquisition due diligence. A content site where 80% of traffic comes from a single Google keyword, a newsletter dependent on one social platform for growth, or an eCommerce store relying entirely on Amazon FBA all carry significant platform risk. Revenue diversification and multi-channel traffic are strong signals of lower platform risk. Check organic traffic concentration and affiliate program concentration when evaluating any acquisition.
Operator Time (Owner Hours): The number of hours per week the current owner spends actively managing the business. Operator time is a key variable in website valuation: a site requiring 20 hours/week of management is worth less, on a multiple basis, than a comparable site requiring 2 hours/week, because buyers factor in the cost of their own time or outsourcing. Ask the seller for a detailed breakdown of what the hours involve — content publishing, customer support, technical maintenance, ad management — to identify which tasks can be automated or delegated post-acquisition. Sites with low operator time and high net profit are the most sought-after for passive income investors. Payback Period: The time it takes to recover the purchase price from the site's earnings, assuming flat revenue. A site purchased for $36,000 at a 36x monthly SDE multiple ($1,000/month SDE) has a 3-year payback period at flat earnings. Payback period is the most intuitive way to evaluate acquisition risk: under 2.5 years is conservative; 3–4 years is typical for most website categories. Buyers who actively grow the site after acquisition — through better monetisation, SEO, or product expansion — shorten the effective payback period significantly. Referring Domains: The number of unique external domains that link to a website. Referring domains is a more reliable backlink quality metric than total backlink count because a site with 500 links from 10 domains is far less authoritative than one with 500 links from 400 distinct domains. Review referring domains during website acquisition due diligence using Ahrefs or Semrush, looking for sudden spikes (which may indicate link schemes) and quality signals. A handful of editorial links from authoritative sites is worth more than hundreds from low-quality directories. Revenue Concentration: The percentage of total revenue from a single source, customer, or channel. High revenue concentration is a major risk factor in website acquisitions: a content site earning 90% of revenue from a single affiliate program or a SaaS business where 40% of MRR comes from one customer are highly vulnerable to a single external decision. Revenue concentration is closely related to platform risk and directly affects the valuation multiple a site commands. Domain Age: How long a domain has been registered and actively used. Google gives more trust to older domains because their long track record makes spam manipulation harder to sustain. Domain age is a positive indicator when buying a content site, but is not a substitute for a clean backlink profile and verified organic traffic — a 10-year-old domain with spammy history is worse than a clean 2-year-old domain. Check domain age via WHOIS records or a tool like Ahrefs during due diligence, and review the Wayback Machine to understand what the domain was used for historically. CTR (Click-Through Rate): The percentage of users who click on a result after seeing it in search results (clicks divided by impressions). A high CTR for a given ranking position means the page title and description match search intent well. During due diligence on content sites, review CTR data in Google Search Console to understand whether organic traffic is limited by ranking position or by a low click rate on existing top-10 pages. A site with many keywords ranking in positions 1–5 but below-average CTR may have significant upside through title and meta description improvements — lower-risk growth than rebuilding rankings from scratch. SOP (Standard Operating Procedure): A documented, step-by-step guide for a recurring business task — publishing content, fulfilling orders, handling customer support, running ad campaigns. A strong SOP library reduces operator time and key-man risk by ensuring any competent hire can execute tasks without relying on the owner's memory. During due diligence, request the seller's SOP library and verify it is current. For sellers, preparing SOPs before listing is one of the highest-ROI pre-sale improvements — it directly addresses the “what happens when you leave?” buyer concern and can increase the valuation multiple.
MoM Growth (Month-over-Month Growth): The percentage change in a key metric from one month to the previous one. Consistent positive MoM growth justifies a higher multiple than a flat or declining business. For SaaS businesses, track MoM growth in MRR and active users. Working Capital: Current assets minus current liabilities — the cash cushion needed to keep a business running day-to-day. For eCommerce acquisitions, inventory on hand at closing is typically valued at cost and negotiated separately from the headline price. The Asset Purchase Agreement should specify whether working capital is included, at what normalised level, and how it is adjusted at closing if inventory differs from the agreed amount. Clarify this before signing the LOI to avoid surprises. For content sites and SaaS, working capital requirements are minimal — most revenue is collected before costs are incurred.
Backlink: A link from an external website pointing to the acquired site. Backlinks are Google's primary proxy for authority — more links from relevant, high-quality sites generally means higher organic rankings. During due diligence on content sites, audit the backlink profile using Ahrefs or Semrush: check the number of referring domains, the authority of those domains (see DA/DR), and whether any links are from link farms or private blog networks that could trigger a Google penalty. A clean, naturally growing backlink profile is a significant positive signal; a sudden spike in low-quality links is a red flag.
White Label: A product built by one company and sold under another's branding. White-label SaaS businesses and web tools are popular acquisition targets: they often serve business clients with high switching costs, generating stable MRR and low churn. Key due diligence question: is the white-label arrangement transferable to a new owner? Verify the underlying product licence, revenue-sharing arrangements with the original developer, and whether customer contracts include assignment clauses. Dropshipping: An eCommerce fulfilment model where the store owner does not hold inventory — orders are forwarded directly to a third-party supplier who ships on the store's behalf. Dropshipping eliminates upfront inventory risk but typically results in lower gross margins (10–25%) and introduces significant platform risk: the business depends on suppliers who can raise prices, change terms, or go out of stock without notice. Unlike inventory-holding eCommerce stores, dropshipping businesses have minimal working capital requirements. During due diligence, request supplier agreements, verify return rates (high returns erode margins quickly), and assess whether ad costs are sustainable — many dropshipping stores are heavily dependent on paid social traffic, which can disappear if ad accounts are suspended.
FBA (Fulfillment by Amazon): Amazon's fulfilment service where a seller ships inventory to Amazon warehouses and Amazon handles storage, shipping, and returns. FBA businesses are popular acquisition targets among eCommerce buyers because of predictable operations and Prime shipping eligibility, but they carry significant platform risk: Amazon can suspend accounts, suppress listings, or increase fees unilaterally. FBA revenue concentration is a key due diligence flag — if 100% of revenue flows through a single Amazon seller account, any account issue could halt all revenue overnight. Also account for working capital: inventory at Amazon warehouses at closing must be valued and either included in the sale price or negotiated separately. Review gross margins carefully — FBA fees, Amazon referral fees, and storage costs typically reduce margins to 15–35%.
Google Core Update / Helpful Content Update: Broad changes to Google's search ranking algorithm released several times per year that can significantly affect a website's organic traffic. The Helpful Content Update (HCU), introduced in 2022 and expanded in 2023–2024, specifically targeted AI-generated or thin content published primarily for search rankings rather than genuine user value. Many content sites experienced 30–80% traffic drops after these updates. During due diligence, cross-reference the site's Google Analytics traffic history against the timeline of major core updates (publicly listed on Google's Search Central blog). A site that recovered from a previous core update suggests resilient content quality; a site that never recovered from a 2023 HCU update may have a structural content problem that cannot be fixed post-acquisition. Core Web Vitals: A set of Google performance metrics: LCP (Largest Contentful Paint — how fast the main content loads), CLS (Cumulative Layout Shift — how much content jumps as the page loads), and INP (Interaction to Next Paint — how quickly the page responds to clicks). Poor Core Web Vitals are a ranking signal in Google's Page Experience system. For content site acquisitions, checking Core Web Vitals in Google Search Console reveals whether the site has an addressable performance gap that is suppressing organic rankings. A site with poor CWV scores in a competitive niche may be underperforming relative to its content quality — a buyer with technical skills can improve scores post-acquisition and capture ranking gains others cannot. During due diligence, run the site through Google's PageSpeed Insights tool and check the “Page experience” report in Search Console for mobile and desktop scores.

Seasonal Revenue: Revenue that follows a predictable seasonal pattern, spiking in certain months and declining in others. Many eCommerce stores and content sites have strong seasonal revenue. A business that earns 60% of annual revenue in Q4 must not be valued using a Q4 monthly figure — always use the TTM average monthly SDE to smooth out seasonal distortions. GMV is a volume metric, not a profit metric — do not use it as the basis for valuing eCommerce acquisitions. A general threshold: a single client representing more than 20–25% of revenue warrants a discount to the acquisition multiple. Productized Service: A service packaged at a fixed price with predefined deliverables — for example, “monthly SEO reporting for $499/month” or “landing page design for $1,497.” Unlike traditional consulting, it can be delivered consistently by a trained contractor without the owner's involvement in every engagement. This removes key-person dependency and makes the business far more transferable to a new owner. Recurring productized services (monthly retainer subscriptions) trade at significantly higher multiples than project-based service businesses because revenue is predictable and the model resembles a SaaS subscription. The key evaluation question: does the current owner deliver to scope consistently, or does scope regularly expand without additional billing?
Technical Debt: Accumulated shortcuts, outdated dependencies, and legacy code patterns that increase future maintenance cost and developer time. In SaaS and tool acquisitions, high technical debt means the buyer must invest significantly in refactoring before shipping new features or scaling reliably. Common signs: no automated tests, a monolithic codebase mixing billing logic and core product, outdated dependencies with known security vulnerabilities, or a complete absence of documentation. Evaluate technical debt during due diligence by having a developer review the codebase, run dependency audits, and estimate refactoring cost. Factor this into the offer or negotiate a transition period for knowledge transfer. Technical debt is not a deal-breaker, but $20,000–$50,000+ in refactoring time is common at the mid-market and must be reflected in the price.
Retainer Revenue: Recurring income from ongoing monthly or annual service contracts. Retainer revenue in service businesses functions like MRR in SaaS: it is contracted, predictable, and renews without new sales activity each month. A service business where 70%+ of revenue is retainer-based trades at a significantly higher acquisition multiple than one relying on project-based income, because retainer contracts are forward-looking and reduce post-acquisition uncertainty. During due diligence, verify what percentage of retainer contracts are month-to-month vs. annual, whether contracts are assignable to a new owner, and the average client tenure — retainer relationships of 2+ years indicate strong satisfaction and low churn.
GRR (Gross Revenue Retention): The percentage of recurring revenue retained from existing customers over a period, excluding upsells or seat additions. GRR can only be ≤100% — it measures pure retention without expansion credit. A SaaS business with 85% annual GRR loses 15% of its existing base to churn and downgrades before accounting for new sales. GRR is the more conservative metric compared to NRR: high NRR can mask poor base retention if expansion revenue covers churn losses. Best-in-class micro-SaaS has GRR above 80%; anything below 70% means the business loses more than 30% of its existing revenue annually and requires aggressive new customer acquisition just to stay flat. Usage-Based Pricing: A model where customers pay per use rather than a flat fee — common in developer tools, AI wrappers, and API businesses. For tool acquisitions, usage-based pricing creates variable MRR that expands as customers grow but can drop if a high-usage account churns. Browser Extension: A software add-on installed in a web browser that extends browser functionality. Extensions have strong organic distribution through the Chrome Web Store but carry platform risk — Google can change policies or deprecate extension capabilities without warning. During due diligence, verify: (1) Chrome Web Store rating (4.0+ is healthy), (2) active install count and recent install trend, (3) Manifest V3 compatibility (legacy Manifest V2 extensions face forced migration), (4) permission scope — extensions requesting sensitive permissions face higher policy risk. Extensions with subscription monetization tend to command higher multiples than ad-supported extensions due to predictable recurring revenue.
ROAS (Return on Ad Spend): The revenue generated for every dollar spent on paid advertising. A ROAS of 3x means $3 in revenue per $1 of ad spend. ROAS is the primary efficiency metric for eCommerce acquisitions running Google, Meta, or TikTok ads. During due diligence, verify the last 12 months of ROAS trends: a declining ROAS with flat revenue means the seller is spending increasingly more to hold the same output. ROAS directly interacts with gross margin — a business with a 40% margin needs at least 2.5x ROAS to break even on ads after COGS. Cart Abandonment Rate: The percentage of shoppers who add items to a cart but leave before completing a purchase. The global average is approximately 70%. For eCommerce acquisitions, a high cart abandonment rate is both a risk and an opportunity: revenue is being left on the table through fixable issues. For SaaS acquisitions, the distinction affects churn, LTV, and the valuation multiple. B2B SaaS typically sees monthly churn of 1–3% because switching costs are high, contracts are longer, and buying decisions are made by teams rather than individuals. Activation Rate: The percentage of new users who reach the core value action (“aha moment”) shortly after signup. For tool and app acquisitions, activation rate predicts long-term retention: activated users rarely churn immediately; non-activated users are effectively lost. Benchmark: 20–40% for consumer tools, 30–60% for B2B productivity tools. Low activation may signal a broken onboarding flow, unclear value proposition, or mismatched acquisition channel — all potentially fixable. Check whether the seller has tracked activation in product analytics (Mixpanel, Amplitude, PostHog), and request the activation funnel to understand where users drop off. Improving a broken activation funnel can compound free-to-paid conversion significantly without acquiring new users.
Add-backs / Normalization: The process of adjusting reported net profit to reflect true earnings available to a new owner. Common add-backs: seller's salary or draw (the new owner will manage the business), one-time legal or equipment costs, and personal expenses run through the business. Stripping out these non-recurring or owner-specific items is how you calculate SDE. Scrutinize add-backs carefully during due diligence: aggressive normalization can inflate SDE. Ask the seller to list every add-back line-by-line with documentation. SDE (Seller's Discretionary Earnings)

The total cash benefit a full-time owner-operator derives from a business annually, calculated as net profit plus the owner's salary, non-recurring expenses, and any personal expenses run through the business. SDE is the most widely used metric for valuing small websites and online businesses — most listing prices are quoted as a multiple of monthly SDE. Multiple

The ratio of asking price to monthly (or annual) earnings. A “36x multiple” means the asking price is 36 times the site's average monthly net profit. Content sites and SaaS businesses typically trade at 30–50x monthly SDE. eCommerce stores often trade at 24–40x. The multiple reflects how much of a premium buyers are willing to pay for predictability, growth, and low risk.

MRR (Monthly Recurring Revenue)

Predictable, subscription-based revenue collected each month. MRR is the primary financial metric for SaaS businesses because it measures the recurring portion of revenue that is contracted and expected to continue without new sales activity. MRR excludes one-time payments, setup fees, and non-subscription income. Annualised MRR is expressed as ARR.

ARR (Annual Recurring Revenue)

MRR multiplied by 12. ARR is used to express the annualised value of a subscription business and is the standard basis for SaaS acquisition multiples. A SaaS tool with $2,000 MRR has $24,000 ARR. Typical SaaS acquisition prices range from 2x to 5x ARR depending on growth, churn, and product maturity.

Churn Rate

The percentage of customers (or revenue) lost in a given month. A monthly churn rate of 2% means 2 in every 100 subscribers cancel each month. Low churn is one of the strongest indicators of a valuable SaaS or subscription business: a business with 1% monthly churn retains 89% of its customers after one year, while 5% monthly churn leaves only 54% remaining. NRR (Net Revenue Retention)

A metric that shows whether revenue from existing customers grows or shrinks over time, accounting for upgrades, downgrades, and cancellations. NRR above 100% means existing customers collectively pay more each month than the previous month — the business can grow revenue even with zero new customer acquisition. NRR is one of the most powerful signals of a healthy SaaS business. Closely related to churn rate: high NRR implies low revenue churn.

LTV (Lifetime Value)

The total revenue expected from a single customer over the entire duration of their relationship with the business. Calculated as average monthly revenue per customer divided by the monthly churn rate. A business with $50 average monthly revenue per customer and 2% monthly churn has an LTV of $2,500. Comparing LTV to CAC is the standard way to evaluate whether a customer acquisition model is sustainable.

CAC (Customer Acquisition Cost)

The total cost to acquire one new paying customer, including all marketing and sales spend divided by the number of new customers acquired in the same period. For content sites earning through organic search, CAC is effectively zero. For SaaS businesses spending on paid ads, a CAC below one-third of LTV is generally considered healthy.

TTM (Trailing Twelve Months)

The most recent 12-month period of financial data, used to establish a representative baseline for revenue and earnings. Most acquisition valuations use TTM average monthly SDE rather than a single month's figure to smooth out seasonal spikes or dips. Organic Traffic

Visitors who arrive at a website through unpaid search engine results (Google, Bing, etc.) as opposed to paid ads, social referrals, or direct URL visits. Organic traffic is generally the most valuable traffic source for content sites because it is free, compounding, and relatively stable once established. Verify organic traffic using a read-only Google Analytics or Google Search Console share before closing any acquisition — see our due diligence guide for a full verification checklist. A domain's backlink strength is measured by DA / DR.

Asset Purchase Agreement (APA)

The legal contract that transfers ownership of website assets — domain, website files, databases, social media accounts, email lists, intellectual property, and any other included items — from seller to buyer. A well-drafted APA specifies what is included, the purchase price, seller warranties, transition support obligations, and confidentiality provisions. Escrow

A neutral third-party service that holds the buyer's payment until all agreed assets have been transferred and the buyer confirms receipt. Escrow protects both parties: the seller knows funds are available before releasing any assets; the buyer knows they can recover funds if assets are not delivered as agreed. Seller Financing

An arrangement where the seller accepts deferred payments from the buyer instead of full payment at closing. In a typical seller-financed deal, the buyer pays 50–70% upfront and the remainder over 12–24 months, often with interest. Seller financing is common for mid-market acquisitions ($50,000–$500,000) where the buyer cannot fund the full purchase price in cash. EPP / Auth Code (Domain Transfer Authorization)

The authorisation code required to transfer a domain name from one registrar to another. When a website acquisition closes, the seller initiates the domain transfer by requesting this code from their registrar and sharing it with the buyer. The buyer submits it to their registrar to accept the transfer. Domain transfers typically take 5–7 days to propagate. All asset transfers should be confirmed complete before escrow releases funds. DA / DR (Domain Authority / Domain Rating)

Third-party scores that estimate a domain's strength based on the quality and quantity of websites linking to it. DA is Moz's metric (0–100 scale); DR is Ahrefs' metric (0–100 scale). Neither is a Google ranking signal directly, but higher scores correlate with stronger organic traffic and are useful for benchmarking a domain's backlink profile when evaluating a content site or niche website for acquisition.

Net Profit

Total revenue minus all operating expenses — hosting, tools, contractors, advertising, and any other costs directly associated with running the business. Net profit is the foundation for calculating SDE, the metric most commonly used to value online businesses. Most website valuations use a TTM average monthly net profit as the baseline, then apply a multiple to arrive at a listing price.

LOI (Letter of Intent)

A non-binding preliminary document that outlines the main terms of a proposed acquisition before a formal Asset Purchase Agreement is drafted. An LOI covers the proposed purchase price, deal structure, due diligence period, exclusivity window, and target closing date. NDA (Non-Disclosure Agreement)

A legal agreement in which a prospective buyer commits to keeping confidential any financial, operational, or proprietary information shared by the seller during due diligence. Sellers should request a signed NDA before sharing revenue reports, customer lists, or traffic analytics — see our due diligence guide for what to share and when. NDAs are standard in any business acquisition and are often exchanged alongside or just before a Letter of Intent.

Earnout

A deal structure where a portion of the purchase price is paid after closing, contingent on the business hitting agreed performance targets. Earnouts reduce upfront risk for the buyer and let the seller capture value from growth they initiated. They are common in mid-market acquisitions where future performance is uncertain — often paired with seller financing as part of a structured deal. RPM (Revenue Per Mille)

The revenue earned per 1,000 pageviews from display advertising. RPM varies widely by niche and season: personal finance and legal content can command $20–$80+ RPM; general entertainment often falls in the $1–$5 range. RPM is a key metric when evaluating content sites — a high-RPM niche site with modest organic traffic can generate more revenue than a high-traffic site in a low-RPM niche. Always confirm whether reported revenue reflects actual RPM or a blended figure that includes affiliate and sponsor income.

EBITDA (Earnings Before Interest, Taxes, Depreciation, and Amortization)

A measure of a business's operating performance that strips out financing costs, tax obligations, and non-cash accounting charges. EBITDA is commonly used to value larger SaaS companies and online businesses because it approximates cash flow before capital structure decisions. Goodwill

The premium paid above the net asset value of a business, representing intangible value such as brand recognition, customer relationships, established audience, and ongoing revenue. In website acquisitions, goodwill is often the largest component of the purchase price — a content site's domain, backlink profile, and editorial reputation have real value beyond just the server files. Goodwill is typically amortised over 15 years under Section 197 of the US tax code. Run Rate

An annualised projection of revenue or profit based on a recent short period. A business generating $3,000 in the last month has a $36,000 annual run rate. Run rate is useful for fast-growing SaaS businesses or newsletters where TTM figures underrepresent current performance, but it overstates value for seasonal businesses or those with a recent revenue spike. Always clarify whether reported MRR or ARR figures are TTM averages or current run rate.

Niche Site

A content website focused on a narrow, specific topic — such as a single sport, hobby, product category, or profession — designed to rank in search engines for a defined set of keywords. Niche sites typically earn through display advertising and affiliate commissions. The narrower focus makes them easier to rank and monetise than broad sites, but also more vulnerable if the niche loses search interest or a key affiliate program changes commission rates. DSCR (Debt Service Coverage Ratio)

The ratio of a business's net operating income to its total debt service (principal and interest payments). A DSCR of 1.25 means the business generates 25% more cash flow than needed to cover debt payments. SBA lenders typically require a DSCR of at least 1.25 for online business acquisitions. A DSCR below 1.0 means the business cannot service its debt from its own cash flow, disqualifying it for most SBA loans. A monetisation method where a website earns revenue by displaying ads served by a network such as Google AdSense, Mediavine, or Raptive. Revenue is paid per impression and expressed as RPM. When evaluating a display-ad site, confirm: which ad network is used (Mediavine and Raptive pay significantly higher RPM than AdSense), whether the site meets the network's ongoing minimum traffic requirements, and whether the current RPM is sustainable for the niche. Email List / Subscriber List

An email list is one of the most valuable transferable assets in a website acquisition — it provides a direct, algorithm-independent channel to an engaged audience. This is especially true for newsletter businesses and content sites where the list can be monetised through sponsored emails, affiliate promotions, or product launches. When evaluating a site with an email list during due diligence, ask for: total subscriber count, open rate (benchmark: 20–40% is healthy), click rate, list growth rate, and the email platform (Mailchimp, ConvertKit, Beehiiv, etc.). Confirm that subscribers consented via a double opt-in or equivalent mechanism for GDPR compliance. The list transfer typically involves either a full platform account transfer or a CSV export and re-import — both must be completed before escrow is released.

ARPU (Average Revenue Per User)

Total monthly revenue divided by the total number of active users or customers. ARPU is a key metric for SaaS businesses and subscription platforms. A business with 1,000 users and $10,000 MRR has an ARPU of $10. Increasing ARPU through pricing changes or upsells is one of the highest-impact growth levers for a SaaS acquisition. Compare ARPU to LTV and CAC to assess whether the unit economics are sustainable. A falling ARPU over time signals pricing pressure or a shift toward lower-value plan tiers — ask for cohort data to understand the trend before buying.

Conversion Rate (CVR)

The percentage of website visitors who complete a desired action — making a purchase for eCommerce stores, signing up for a free trial for SaaS products, or subscribing for newsletters. Typical benchmarks: 1–3% for eCommerce, 2–5% for SaaS free trials, 5–15% for email opt-in forms. A declining conversion rate during due diligence signals a product-market fit issue, UX deterioration, or traffic quality problem. Ask for at least 12 months of conversion data before buying. AOV (Average Order Value)

Total revenue divided by total number of orders in a given period. AOV is a critical metric when evaluating eCommerce stores because it determines revenue per transaction. A store with a high AOV and moderate traffic can outperform a high-traffic store with a low AOV. When reviewing an eCommerce acquisition, request monthly AOV alongside revenue and order volume to spot trends. Common post-acquisition levers to increase AOV include upsells, product bundles, and free shipping thresholds. Compare to LTV and conversion rate to assess the full revenue picture per visitor.

Open Rate

The percentage of email subscribers who open a given email send. Open rate is the primary engagement metric for newsletters and any business with an email list. Healthy benchmarks: 25–45% for B2B newsletters, 20–35% for general content newsletters. A declining open rate signals list fatigue, deliverability problems, or irrelevant content. When evaluating an email-heavy acquisition, request open rate data for the last 12 months — a 10,000-subscriber list at 15% open rate is worth considerably less than a 3,000-subscriber list at 40%. Check deliverability by asking whether the sender domain has SPF, DKIM, and DMARC records configured correctly.

Asset Sale vs Entity Sale

The two main acquisition structures. In an asset sale — the most common structure for small online businesses — the buyer acquires specific assets (domain, files, content, accounts, IP) while the seller retains the legal entity. In an entity sale, the buyer acquires the entire LLC or corporation, including all liabilities. Asset sales are simpler and more tax-efficient for buyers. Engagement Rate (formerly Bounce Rate)

A Google Analytics 4 metric showing the percentage of sessions that are engaged — defined as lasting at least 10 seconds, having a conversion event, or including two or more page views. Engagement rate replaced the older “bounce rate” metric in GA4 (2023+). A healthy engagement rate for content sites is 55–75%; below 50% may indicate traffic quality issues, slow page speed, or a mismatch between content and audience. For SaaS products, engagement rate on the landing page directly affects conversion rate. During due diligence, request GA4 read-only access to verify engagement rate alongside organic traffic and session data.

Gross Margin

Total revenue minus the direct cost of delivering the product or service, expressed as a percentage. For SaaS businesses and content sites, gross margin is typically 70–90% because the marginal cost of an additional customer or pageview is near zero. For eCommerce stores, gross margins are lower (20–50%) due to product costs, shipping, and returns. High gross margin is a strong signal of scalable, profitable growth. Compare gross margin to SDE and net profit to understand the full cost structure of a business before acquiring it.

LTV:CAC Ratio

The ratio of a customer's Lifetime Value (LTV) to the Customer Acquisition Cost (CAC). The widely cited healthy benchmark for SaaS businesses is 3:1 — the business earns three dollars from a customer for every dollar spent acquiring them. Below 1:1 means the business loses money on every customer acquired, which is unsustainable. Ratios above 5:1 can indicate underinvestment in growth marketing. Request LTV:CAC alongside churn rate and MRR during due diligence to assess whether the unit economics are sustainable.

Cohort Analysis

A method of analysing customer behaviour by grouping users who joined in the same period and tracking how they behave over time. Cohort analysis is especially valuable when evaluating SaaS businesses and eCommerce stores: it reveals whether newer customers are churning faster or slower than older cohorts, and whether LTV is improving or declining over time. A business where recent cohorts churn significantly faster than early cohorts is showing signs of deteriorating product-market fit — request cohort data during due diligence alongside churn rate and NRR for a complete picture.

Platform Risk

The risk that a business is heavily dependent on a single third-party platform — such as Google Search, Amazon Associates, Facebook Ads, or Shopify — and that a change to that platform's policies, algorithms, or fees could materially harm the business. Platform risk is one of the most important factors in website acquisition due diligence. A content site where 80% of traffic comes from a single Google keyword, a newsletter dependent on one social platform for growth, or an eCommerce store relying entirely on Amazon FBA all carry significant platform risk. Revenue diversification and multi-channel traffic are strong signals of lower platform risk. Check organic traffic concentration and affiliate program concentration when evaluating any acquisition.

Operator Time (Owner Hours)

The number of hours per week the current owner spends actively managing the business. Operator time is a key variable in website valuation: a site requiring 20 hours/week of management is worth less, on a multiple basis, than a comparable site requiring 2 hours/week, because buyers factor in the cost of their own time or outsourcing. Ask the seller for a detailed breakdown of what the hours involve — content publishing, customer support, technical maintenance, ad management — to identify which tasks can be automated or delegated post-acquisition. Sites with low operator time and high net profit are the most sought-after for passive income investors. Payback Period

The time it takes to recover the purchase price from the site's earnings, assuming flat revenue. A site purchased for $36,000 at a 36x monthly SDE multiple ($1,000/month SDE) has a 3-year payback period at flat earnings. Payback period is the most intuitive way to evaluate acquisition risk: under 2.5 years is conservative; 3–4 years is typical for most website categories. Buyers who actively grow the site after acquisition — through better monetisation, SEO, or product expansion — shorten the effective payback period significantly. Referring Domains

The number of unique external domains that link to a website. Referring domains is a more reliable backlink quality metric than total backlink count because a site with 500 links from 10 domains is far less authoritative than one with 500 links from 400 distinct domains. Review referring domains during website acquisition due diligence using Ahrefs or Semrush, looking for sudden spikes (which may indicate link schemes) and quality signals. A handful of editorial links from authoritative sites is worth more than hundreds from low-quality directories. Revenue Concentration

The percentage of total revenue from a single source, customer, or channel. High revenue concentration is a major risk factor in website acquisitions: a content site earning 90% of revenue from a single affiliate program or a SaaS business where 40% of MRR comes from one customer are highly vulnerable to a single external decision. Revenue concentration is closely related to platform risk and directly affects the valuation multiple a site commands. Domain Age

How long a domain has been registered and actively used. Google gives more trust to older domains because their long track record makes spam manipulation harder to sustain. Domain age is a positive indicator when buying a content site, but is not a substitute for a clean backlink profile and verified organic traffic — a 10-year-old domain with spammy history is worse than a clean 2-year-old domain. Check domain age via WHOIS records or a tool like Ahrefs during due diligence, and review the Wayback Machine to understand what the domain was used for historically. CTR (Click-Through Rate)

The percentage of users who click on a result after seeing it in search results (clicks divided by impressions). A high CTR for a given ranking position means the page title and description match search intent well. During due diligence on content sites, review CTR data in Google Search Console to understand whether organic traffic is limited by ranking position or by a low click rate on existing top-10 pages. A site with many keywords ranking in positions 1–5 but below-average CTR may have significant upside through title and meta description improvements — lower-risk growth than rebuilding rankings from scratch. SOP (Standard Operating Procedure)

A documented, step-by-step guide for a recurring business task — publishing content, fulfilling orders, handling customer support, running ad campaigns. A strong SOP library reduces operator time and key-man risk by ensuring any competent hire can execute tasks without relying on the owner's memory. During due diligence, request the seller's SOP library and verify it is current. For sellers, preparing SOPs before listing is one of the highest-ROI pre-sale improvements — it directly addresses the “what happens when you leave?” buyer concern and can increase the valuation multiple.

MoM Growth (Month-over-Month Growth)

The percentage change in a key metric from one month to the previous one. Consistent positive MoM growth justifies a higher multiple than a flat or declining business. For SaaS businesses, track MoM growth in MRR and active users. For eCommerce and content sites, track revenue and organic sessions. Working Capital

Current assets minus current liabilities — the cash cushion needed to keep a business running day-to-day. For eCommerce acquisitions, inventory on hand at closing is typically valued at cost and negotiated separately from the headline price. The Asset Purchase Agreement should specify whether working capital is included, at what normalised level, and how it is adjusted at closing if inventory differs from the agreed amount. Clarify this before signing the LOI to avoid surprises. For content sites and SaaS, working capital requirements are minimal — most revenue is collected before costs are incurred.

Backlink

A link from an external website pointing to the acquired site. Backlinks are Google's primary proxy for authority — more links from relevant, high-quality sites generally means higher organic rankings. During due diligence on content sites, audit the backlink profile using Ahrefs or Semrush: check the number of referring domains, the authority of those domains (see DA/DR), and whether any links are from link farms or private blog networks that could trigger a Google penalty. A clean, naturally growing backlink profile is a significant positive signal; a sudden spike in low-quality links is a red flag.

White Label

A product built by one company and sold under another's branding. White-label SaaS businesses and web tools are popular acquisition targets: they often serve business clients with high switching costs, generating stable MRR and low churn. Key due diligence question: is the white-label arrangement transferable to a new owner? Verify the underlying product licence, revenue-sharing arrangements with the original developer, and whether customer contracts include assignment clauses. Also check platform risk if the product depends on a third-party API that could change pricing or access terms.

Dropshipping

An eCommerce fulfilment model where the store owner does not hold inventory — orders are forwarded directly to a third-party supplier who ships on the store's behalf. Dropshipping eliminates upfront inventory risk but typically results in lower gross margins (10–25%) and introduces significant platform risk: the business depends on suppliers who can raise prices, change terms, or go out of stock without notice. Unlike inventory-holding eCommerce stores, dropshipping businesses have minimal working capital requirements. During due diligence, request supplier agreements, verify return rates (high returns erode margins quickly), and assess whether ad costs are sustainable — many dropshipping stores are heavily dependent on paid social traffic, which can disappear if ad accounts are suspended.

FBA (Fulfillment by Amazon)

Amazon's fulfilment service where a seller ships inventory to Amazon warehouses and Amazon handles storage, shipping, and returns. FBA businesses are popular acquisition targets among eCommerce buyers because of predictable operations and Prime shipping eligibility, but they carry significant platform risk: Amazon can suspend accounts, suppress listings, or increase fees unilaterally. FBA revenue concentration is a key due diligence flag — if 100% of revenue flows through a single Amazon seller account, any account issue could halt all revenue overnight. Also account for working capital: inventory at Amazon warehouses at closing must be valued and either included in the sale price or negotiated separately. Review gross margins carefully — FBA fees, Amazon referral fees, and storage costs typically reduce margins to 15–35%.

Google Core Update / Helpful Content Update

Broad changes to Google's search ranking algorithm released several times per year that can significantly affect a website's organic traffic. The Helpful Content Update (HCU), introduced in 2022 and expanded in 2023–2024, specifically targeted AI-generated or thin content published primarily for search rankings rather than genuine user value. Many content sites experienced 30–80% traffic drops after these updates. During due diligence, cross-reference the site's Google Analytics traffic history against the timeline of major core updates (publicly listed on Google's Search Central blog). A site that recovered from a previous core update suggests resilient content quality; a site that never recovered from a 2023 HCU update may have a structural content problem that cannot be fixed post-acquisition. Core Web Vitals

A set of Google performance metrics: LCP (Largest Contentful Paint — how fast the main content loads), CLS (Cumulative Layout Shift — how much content jumps as the page loads), and INP (Interaction to Next Paint — how quickly the page responds to clicks). Poor Core Web Vitals are a ranking signal in Google's Page Experience system. For content site acquisitions, checking Core Web Vitals in Google Search Console reveals whether the site has an addressable performance gap that is suppressing organic rankings. A site with poor CWV scores in a competitive niche may be underperforming relative to its content quality — a buyer with technical skills can improve scores post-acquisition and capture ranking gains others cannot. During due diligence, run the site through Google's PageSpeed Insights tool and check the “Page experience” report in Search Console for mobile and desktop scores.

Quality of Earnings Report (QoE)

An independent financial analysis that verifies the accuracy and sustainability of a business's reported earnings before an acquisition closes. A QoE report identifies one-time items inflating SDE or net profit, revenue recognition issues, unusual expense trends, and working capital requirements. For website acquisitions, a QoE is standard for deals above $100,000–$200,000. The report goes well beyond what buyers typically verify during self-directed due diligence: it cross-references payment processor exports, bank statements, and TTM financials to confirm that reported earnings are real and repeatable. A QoE typically costs $2,000–$10,000 depending on deal complexity — a worthwhile investment when the purchase price is six figures or more. Buyers should request a QoE from a firm experienced in online business acquisitions, not just traditional small business accounting.

Holdco (Holding Company)

A legal entity created to own and manage a portfolio of online businesses rather than operating them directly. Using a holdco structure lets investors isolate liability between assets, streamline taxes across multiple businesses, and separate ownership from day-to-day operations. This structure is common among experienced operators with a website portfolio of 3 or more properties. For buyers acquiring their first site, a simple single-member LLC for the operating business is usually sufficient. Holdco structures become more valuable when the portfolio generates significant income and the tax and liability benefits of segmentation outweigh the administrative overhead. Deferred Revenue

Money received from customers for services not yet delivered. For SaaS businesses with annual subscriptions, deferred revenue is a significant balance sheet item: when you acquire the business, you inherit the obligation to continue delivering the service to those customers for the remainder of their prepaid period. In an asset sale, deferred revenue is typically a purchase price adjustment — either the seller retains the cash for subscriptions the buyer will service, or the price is reduced by the deferred balance. Always clarify how deferred revenue is treated in the LOI and Asset Purchase Agreement. Deferred revenue is less relevant for content sites or month-to-month subscriptions but critical for annual plan-heavy SaaS acquisitions.

Sponsored Content / Newsletter Sponsorship

A monetisation model where advertisers pay a publisher to feature their product within editorial content or a newsletter send. Sponsored content typically commands significantly higher RPM than display ads and is the primary revenue model for many newsletters and niche content sites. During due diligence, verify: whether sponsor relationships are governed by contracts or informal arrangements, the renewal rate (recurring sponsors vs one-time placements), whether the sponsor rate card is realistic for the audience size, and whether sponsors would continue working with a new owner. A newsletter where 60%+ of revenue comes from a single recurring sponsor carries significant revenue concentration risk. Check the site's open rate and audience engagement — these are what sponsors actually pay for.

Lead Magnet

A free resource offered in exchange for a visitor's email address — a downloadable guide, checklist, template, tool, or mini-course. Lead magnets are the primary organic mechanism for growing an email list and are common on content sites, SaaS landing pages, and newsletter sites. A high-converting lead magnet can turn organic search traffic into a direct audience channel independent of Google's algorithms. During due diligence, ask the seller: what is the email capture rate on the lead magnet page? What is the opt-in confirmation rate? Is the lead magnet content still current and relevant? A large email list grown through a now-stale lead magnet may have low open rates because early subscribers have disengaged. The value of a lead magnet acquisition lies in the ongoing list growth mechanism, not just the existing subscriber count.

Seasonal Revenue

Revenue that follows a predictable seasonal pattern, spiking in certain months and declining in others. Many eCommerce stores and content sites have strong seasonal revenue. A business that earns 60% of annual revenue in Q4 must not be valued using a Q4 monthly figure — always use the TTM average monthly SDE to smooth out seasonal distortions. Request at least 24 months of revenue data to confirm the seasonal pattern is consistent across two cycles rather than a one-off spike. Seasonal businesses also require more working capital management: the off-season can generate minimal cash while inventory and fixed costs must still be serviced. The valuation multiple for seasonal businesses is typically on the lower end of the category range due to the cash flow unpredictability and higher operational demand around peak periods.

Data Room

A secure, shared folder where a seller compiles confidential business documents for buyers to review during due diligence. A good data room includes: 12 months of P&L statements, traffic analytics exports, payment processor revenue reports, customer contracts, hosting details, and an NDA to be signed before access is granted. Sellers who prepare a data room before listing close faster — buyers can verify key figures quickly rather than chasing documents across email threads. Organise files logically by category (Financials, Traffic, Legal, Operations) and give buyers view-only access. Non-Compete Clause

A clause preventing the seller from starting or operating a competing business in the same niche for a defined period post-close. Non-competes are standard in website acquisitions because a seller who immediately launches a competing site could divert the acquired site's audience, ad relationships, or search rankings. Most run 2–3 years and are written into the Asset Purchase Agreement alongside a non-solicitation clause. Confirm the non-compete scope is agreed in the LOI before proceeding to closing. Transition Period

The period after closing during which the seller is available to train the buyer and assist with operations. For small content sites, 30–60 days of email support is typical. For SaaS businesses, 60–90 days of structured handover is standard given technical and customer complexity. A transition period reduces risk by ensuring key knowledge does not leave with the seller: ask the seller to create or validate all SOPs during transition. Specify the terms in the LOI: hours per week, communication channel, and duration. A short earnout tied to revenue retention post-close is often paired with the transition period to align the seller's incentives with a thorough handover. 301 Redirect

A server instruction that permanently moves a page to a new URL, passing ~90–99% of the original page's backlink equity to the destination. Missing 301 redirects are a significant due diligence risk: if high-value pages are moved or deleted without a redirect, all referring domain equity and organic rankings built to those URLs are permanently lost. During due diligence, audit the site's redirect structure using a crawler (Screaming Frog or Sitebulb) and cross-reference against Ahrefs: find all pages with significant backlinks and verify they are live. Programmatic SEO (pSEO)

A strategy using templates and structured data to generate large numbers of targeted pages automatically — city-specific landing pages, product comparison pages, tool directories. Well-executed pSEO can produce thousands of ranking pages at low marginal cost; poorly executed, it creates thin duplicate content that Google Core Updates specifically target. When evaluating a content site that uses pSEO, verify: (1) generated pages have genuinely unique content beyond swapping a location or keyword variable; (2) the site's organic traffic has remained stable across multiple core update cycles; (3) the ratio of indexed pages to traffic — a site with 50,000 indexed pages and 10,000 monthly visitors suggests Google is discounting most pages. Keyword Cannibalization

A situation where multiple pages on the same site compete for the same keyword, splitting organic traffic signals between them instead of concentrating authority on one strong page. Cannibalization is common on large content sites with overlapping topic coverage or poorly structured programmatic SEO builds. During due diligence: check Google Search Console for multiple pages ranking for the same query, look for erratic ranking fluctuations on key terms, and request Ahrefs or Semrush exports to identify cannibalised keyword clusters. Unresolved cannibalization can suppress traffic even when the site has high DR/DA and strong backlinks.

Topical Authority

Google's assessment of how comprehensively a site covers a subject area. A site with high topical authority on, say, “home espresso machines” covers every relevant subtopic — machine types, grinder comparisons, maintenance, buying guides — rather than a few scattered articles. Google rewards topically authoritative sites with stronger rankings across an entire topic cluster, including new pages with no external backlinks. When evaluating a content site, topical authority matters as much as DA/DR: a focused, deep site in a narrow niche often outranks larger generalist competitors. During due diligence, map the site's content coverage against the topic and look for gaps that a competitor could exploit after the acquisition.

Inventory Turnover

A measure of how many times a business sells and replaces its stock in a year: cost of goods sold divided by average inventory value. High turnover (6x+ for most categories) signals healthy demand and efficient purchasing; low turnover means slow-moving products and cash tied up in dead stock. When acquiring an eCommerce business, request a full inventory ageing report — stock that has sat unsold for 90+ days is a liability the buyer inherits. Return Rate

The percentage of orders returned by customers. Average return rates vary by category: apparel 20–30%, electronics 10–15%, general merchandise 5–10%. High return rates reduce net revenue, inflate fulfilment costs, and create cash flow unpredictability. When evaluating an eCommerce business, request 12-month return rate data by product category and by SKU — unusually high returns on specific products often signal product quality issues or misleading descriptions that will continue after the acquisition. A high return rate also suppresses gross margin significantly beyond what the P&L may show, since return processing costs are sometimes netted differently. Always reconcile returns against the SDE calculation.

User Growth Rate

The month-over-month percentage increase in active users, registered accounts, or paid subscribers. User growth rate is a leading indicator of future revenue for SaaS businesses, newsletters, and community platforms. A SaaS business growing 5–10% MoM organically commands a significantly higher multiple than a flat or declining one. When reviewing user growth, segment by acquisition channel: growth from a single paid ad campaign is fragile; growth from organic search, word-of-mouth, or content marketing is durable and more valuable. Bounce Rate

The percentage of sessions in which a visitor views only one page and leaves without further interaction. High bounce rate is not automatically bad: a content site answering a single informational query well may have an 80%+ bounce rate while still delivering strong ad RPM. During due diligence, pair bounce rate with average session duration: a 90-second high-bounce session indicates the content resolved the user's query; a 10-second high-bounce session suggests content-intent mismatch, which can suppress organic traffic rankings over time. Technical Debt

Turnkey Website

A fully operational, revenue-generating website ready to run from day one. In listings, “turnkey” implies established traffic, proven revenue, existing content or product, and documented operations (SOPs). Turnkey sites trade at a premium to starter or development-stage projects because the buyer is acquiring a proven business rather than speculative potential. The term is frequently misused in listings — always verify with traffic data, revenue exports, and due diligence before relying on the label. Operator time and SOPs are the two main signals that a site is genuinely turnkey rather than owner-dependent.

YoY (Year-over-Year Growth)

A metric comparing a period’s performance to the same period one year prior. YoY removes seasonal distortions that skew MoM comparisons and is the standard basis for assessing long-run trajectory in due diligence. Applied to revenue, traffic, and SDE: a site growing 20%+ YoY commands a premium multiple; a site declining 20%+ YoY is typically priced at a discount or valued on forward earnings rather than trailing twelve months. Merchant of Record (MoR)

The legal entity responsible for processing payments, collecting sales tax/VAT, and managing refunds. In SaaS and digital product acquisitions, identifying the MoR is critical: if the seller used a MoR platform (Paddle, Lemon Squeezy, FastSpring), those platforms handle global tax remittance automatically. If the seller used Stripe or PayPal directly, the buyer inherits all tax registration and remittance obligations on closing. During due diligence, confirm which entity is the MoR, whether the MoR platform account is transferable, and what historic tax exposure exists. Digital Product Business

An online business selling downloadable or deliverable digital goods — ebooks, templates, presets, code snippets, courses, fonts, stock media — rather than subscriptions, advertising, or physical products. Gross margins are typically 80–95% (no per-unit COGS), but revenue is transactional, so valuation multiples generally run 24–40x monthly SDE — below subscription businesses. During due diligence, assess: traffic source concentration (Etsy/Gumroad marketplace vs. owned email list), revenue concentration by product, refund rate, and whether the original creator’s personal brand drives purchases (a key discount factor). Businesses with an owned email list and direct traffic are more transferable than those dependent on a platform algorithm or founder identity.

Zero-Click Search

A search query answered directly in Google’s results page — via featured snippet, knowledge panel, or AI Overview — without any click to a website. Zero-click searches erode organic traffic for content targeting informational queries. In due diligence, use Google Search Console to measure CTR vs. impression trends: a declining CTR with stable or growing impressions is a zero-click signal. Content sites with heavy reliance on definition, FAQ, or how-to queries are most exposed. Review whether traffic velocity has declined since the 2024 AI Overviews rollout before making an offer.

UGC (User-Generated Content)

Content created by a site’s users or community members — forum posts, discussions, reviews, Q&A threads, and comments — rather than by the owner or editorial team. UGC is a strong value driver for community sites and content sites because it compounds without editorial cost and generates topical authority and backlinks at scale. In due diligence, assess UGC volume and quality, moderation overhead (high-volume UGC sites require active moderation to prevent spam and low-quality posts that trigger core update penalties), and whether engagement has declined since the founder was active. A site with a deep UGC archive but low recent activity may be in engagement decline.
